Toronto, ON. Global Governance Advisors Senior Partner, Paul Gryglewicz, is the co-developer of the Governance of Executive Compensation and Shareholder Accountability Summer Graduate Program as part of the Master of Financial Accountability degree offered at York University. The course has been offered since 2013 and is mandatory for students enrolled in the program.
There are two themes that spread throughout this course. The first is that compensation is an incentive that drives human behavior. The board has final governance authority over every single aspect of executive compensation. Compensation, along with the tone at the top and the shareholder environment, is integral and fundamental to governance and financial accountability. The second theme of this course is that the board is accountable to shareholders for executive compensation. Shareholders want to see a direct alignment between shareholder wealth maximization and executive reward.

It is imperative that shareholders; board members and executives understand the leading practices in executive compensation design and compensation governance. It’s an honour and a privilege to share my passion for executive compensation design and corporate governance through teaching the emerging students interested in pursuing a career in this field,” commented Paul Gryglewicz, Senior Partner. “This theme of reflective practice is not necessarily quiet and personal, but is social, action-oriented, political, speaks ‘truth to power,’ deconstructs dominant discourse and socially constructed realities, and is applied in situations in which information is incomplete, outcomes are uncertain, and there is ambiguity, which can describe compensation setting and shareholder voting,” Gryglewicz added. “Skepticism and challenge, therefore, are both intellectual and affective pursuits that lead to new understandings and appreciations, both individually and in concert with your colleagues.”
